Terms of sale

1. Purpose
These terms govern the sale of HeartCo Starter, a digital source-code product for SaaS applications, by Autoentreprise HeartCO, SIRET 798 668 075 000 38, the Seller.
The product is exclusively intended for professional buyers acting in the course of their business, including software development. It is not offered to consumers. These terms govern a business-to-business relationship.
2. Product and prices
The complete starter includes a Next.js application with Prisma, tRPC, authentication, Stripe integrations and business modules, together with the Expo mobile application. It is delivered through private GitHub repository access. Configurator orders are separate and generate a repository for the selected modules.
Starter, Pro and Team include the same complete starter source code. Prices are displayed on the pricing section and confirmed before payment. Available EUR and USD prices are fixed commercial prices; the order currency and amount are recorded by Stripe. Founder remains billed in EUR. Launch pricing runs through 31 October 2026, Paris time; standard pricing applies afterwards.
Prices include applicable taxes. The Seller operates under the French VAT exemption scheme, Article 293 B of the French General Tax Code; VAT is not applicable under that declared status. Hosting and third-party service fees are separate.
3. Order and payment
Orders are placed through heartco.fr and paid through Stripe’s secure checkout. The starter is a one-time purchase, without a HeartCo subscription or recurring licence fee. The currency shown at checkout is the currency charged. Any conversion fees charged by the buyer’s bank are separate.
4. Delivery
After confirmed payment, complete-starter buyers receive GitHub invitations for the web starter and mobile application. Delivery is considered completed when the invitations are sent, usually within a few minutes. Configurator buyers open their order confirmation, connect GitHub and initiate generation of their selected repository. A valid GitHub account is required.
5. Licence
The following licence terms apply to new orders carrying licence version 2026-09-17. Earlier purchases retain the rights and conditions applicable when purchased.
- Starter: One own project, one GitHub seat, email support within 72 hours and lifetime updates.
- Pro: Unlimited own projects, three GitHub seats, priority support within 24 hours and lifetime updates.
- Team: Agency licence for own and client projects, ten GitHub seats, a private Discord channel, one code review and lifetime updates.
Buyers may modify and deploy the code within their purchased licence. Team permits delivery of a customised application to clients; it does not permit redistribution or resale of the raw source as a template, starter or competing boilerplate. Public sharing of the source is prohibited. Lifetime updates are included. A project means a distinct product; development, staging and production environments for the same product count as one project.
These full-starter licence limits do not change earlier purchases or the separate module-selection and Founder offers.
6. Withdrawal and commercial guarantee
The consumer withdrawal provisions in Articles L221-18 et seq. of the French Consumer Code apply to consumers. This product is sold exclusively to professionals under section 1; the purchase becomes binding upon payment confirmation and opening repository access.
HeartCO nevertheless offers a commercial 30-day money-back guarantee. Contact support@heartco.fr within 30 days of purchase for a full refund, with no justification required.
7. Support
Starter includes email support within 72 hours; Pro includes priority support within 24 hours. Team includes a private Discord channel and one code review. Contact support@heartco.fr. Custom development, operating your application and external provider fees are not included.
8. Liability
The product is supplied as is. The Seller does not guarantee that its source code is free of defects. The buyer is responsible for adapting, deploying and maintaining the code in their own environment.
9. Intellectual property
The product source remains the intellectual property of HeartCO. The licence in section 5 does not transfer ownership.
10. Governing law and jurisdiction
These terms are governed by French law. Disputes between professionals concerning their validity, interpretation or performance that cannot be resolved amicably fall within the jurisdiction of the French courts.
